Nonprofit Association and Corporation Law

Kahn, Soares & Conway's Nonprofit Association and Corporation Group is one of the fastest growing areas of the firm's diverse practice and clientele. With expertise in nonprofit association and corporation law, contract law, management-side employment law, state and federal lobbying and campaign regulations, and antitrust law, the Group forms and acts as general counsel for associations in a variety of industries. In addition to traditional trade associations, the Group can create and provide ongoing legal assistance for cooperatives and industry-sponsored foundations. Working closely with attorneys and lobbyists in our Government Relations Group, we provide all types of nonprofit entities with full-service legal support from one integrated team.

The Nonprofit Association and Corporation Group guides clients through incorporation and bylaw preparation, and the sometimes onerous process of obtaining tax exempt status at the state and federal levels. Personal contacts within key state and federal agencies as well as years of experience, assist eligible entities in quickly obtaining letters of exemption, sometimes in as little as eight to twelve weeks. And once exempt status is established, the Group can provide advice on issues such as the impact of lobbying activities and unrelated business income on tax exempt status.

The Group also provides ongoing counsel regarding employment practices, liability issues and insurance coverage, antitrust prevention, state and federal political practices compliance, and board of directors issues. Attorneys knowledgeable in this practice area assists associations in developing mission statements, standards and certification programs, industry codes of ethics, and policies in support of antitrust compliance.
